What This Means

If you take up your 250 rights, you pay ৳6,250.00 and own 1,250 shares. The price is estimated to adjust to ৳37.00, so your shares are worth about ৳46,250.00. After the money you paid, you are about where you started. If you do not take them up, you still own 1,000 shares, but the price is estimated to adjust to ৳37.00. Your holding would be worth about ৳37,000.00, which is ৳3,000.00 less than today. Your share of the company also becomes smaller.

How a Rights Issue Works

  1. 1

    Your Rights

    Shares owned × new shares ÷ shares per offer. 1,000 shares at 1 for 4 gives 250 rights shares, which cost 250 × ৳25 = ৳6,250.

  2. 2

    The Price Adjusts

    The price after = (4 × ৳40 + 1 × ৳25) ÷ 5 = ৳37. New shares at a lower price pull the average down.

  3. 3

    Compare Your Choices

    Take up the rights: 1,250 shares × ৳37 = ৳46,250, less the ৳6,250 you paid, is ৳40,000. Skip them: 1,000 × ৳37 = ৳37,000, which is ৳3,000 less.

Example: 1,000 shares at ৳40 are worth ৳40,000. At 1 for 4 with an offer price of ৳25, taking up your 250 rights costs ৳6,250 and leaves you with 1,250 shares at about ৳37. Not taking them up leaves 1,000 shares at about ৳37.

Rights Issue Questions

What is a rights issue?
A company offers its existing shareholders the chance to buy new shares, usually at a price below the market price, in proportion to the shares they already own.
Do I have to buy the new shares?
No. Taking up your rights is your choice. If you do nothing, you do not receive the new shares, and the number of shares you own stays the same.
Why does the share price fall after the record date?
The company is issuing new shares at a price below the market price, so the average value per share goes down. The exchange adjusts the price. This is a calculation, not a market opinion, and prices keep moving afterwards.
Do I lose money if I take up my rights?
The adjustment alone does not make you worse off if you subscribe. You pay for new shares, and the lower price is spread over more shares. The calculator shows that your total is about unchanged at the estimated price. Prices can still rise or fall.
What happens if I do not take up my rights?
You keep your shares, but the price adjusts down and your share of the company becomes smaller because there are more shares in total. Check the company’s announcement for whether your rights can be sold or given up.
What if I own only a few shares?
The DSE has no fractional shares, so you can only take up whole new shares. If your rights come to less than one share, there is nothing to take up, and how the company treats the part left over is set in its announcement.
How is the estimated price after the offer worked out?
It is the theoretical price: the value of the old shares plus the money raised from the new shares, divided by the total number of shares. The exchange and the company set the actual adjusted price.
Does the result include fees and charges?
No. Fees and charges are not included, and they reduce your real result slightly.
